1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of a business entity ("you"), and HelioNova, Inc., doing business as Service Socket ("Company," "we," "us," or "our"), concerning your access to and use of the Service Socket platform and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Service Description

2.1 Overview

Service Socket is a platform that provides AI voice, chat, booking, and operational features for service businesses, including:

  • 24/7 AI voice call answering and handling
  • Website chat widget with AI-powered responses
  • Service Socket Voice mobile app for authorized business users and technicians (internal field AI assistant, field photo capture, and opt-in location sharing)
  • Automated appointment booking and Google Calendar sync when configured
  • Lead capture and qualification
  • Integrations when configured, including Slack, WhatsApp messaging, Zapier/webhooks, and Salesforce or HubSpot lead/contact push
  • Call transcription, summaries, and analytics
  • Optional phone number provisioning and outbound SMS when enabled for your plan and account configuration

Purchasing or provisioning a phone number through the Service does not guarantee SMS availability, carrier approval, or messaging registration. Messaging remains subject to applicable sender registration, verification, carrier rules, and account configuration.

2.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

  • Access and use the Service for your internal business operations
  • Configure and deploy AI voice and chat features for your business
  • Install and use the Service Socket Voice mobile application on compatible devices solely for authorized users of your account
  • Install chat widgets on your business website(s)
  • Access dashboards, reports, and analytics

3. Account Terms

3.1 Requirements

To use the Service, you must:

  • Be at least 18 years of age
  • Complete registration with accurate information
  • Maintain the security of your account credentials
  • Promptly update any changes to your business information

3.2 Account Security

You are responsible for:

  • Maintaining confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Subscription and Payment

4.1 Plans and AI Credits

Access to the Service requires an active subscription. Each plan includes a monthly allocation of AI credits that power voice calls, chat interactions, appointment booking, and certain automated or outbound actions when enabled. Credit usage varies by interaction type, duration, and features used.

Included AI credits reset each billing cycle unless otherwise stated in your subscription terms. If your usage exceeds the credits included with your plan, the Service may continue operating and additional usage may be billed as metered overage. We may track usage by action type, duration, and related operational metadata for billing, audit, and support purposes.

4.2 Payment Terms

By subscribing, you agree to:

  • Pay all applicable subscription, usage-based overage, and related fees according to your selected billing cycle
  • Provide and maintain valid payment information
  • Pay applicable taxes
  • Accept automatic renewal unless canceled before the next billing period

4.3 Subscription Activation

Your subscription begins when you complete checkout and provide a valid payment method. You will have full access to the selected plan's features for the duration of your billing period. If payment fails, your account will be paused until payment is resolved.

5. Acceptable Use

When using the Service, you agree not to:

  • Violate any applicable laws or regulations
  • Use AI voice or chat features for deceptive, fraudulent, or illegal purposes
  • Misrepresent AI interactions as human to end customers in jurisdictions where disclosure is required
  • Attempt to evade, manipulate, or fraudulently avoid credit tracking, usage metering, or overage billing
  • Attempt to reverse-engineer, copy, or extract our AI models or proprietary technology
  • Transmit malicious code or interfere with the Service's operation
  • Use the Service for mass unsolicited outbound calling or spam

6. AI Feature Responsibilities

6.1 Configuration

You are responsible for accurately configuring AI voice and chat features, including business hours, services offered, pricing, service areas, and booking rules. Inaccurate configuration may result in incorrect information being provided to your customers.

6.2 Limitations

Service Socket AI is designed to handle common customer interactions but may not perfectly handle every scenario. You acknowledge that AI-generated responses may occasionally be inaccurate. We recommend monitoring call transcripts and chat logs, especially during the initial setup period.

6.3 Voice Processing and Transcript Compliance

Live AI voice processing and text transcript storage are part of normal Service Socket customer-facing voice operations (telephony and public web voice). You are solely responsible for providing any notices and obtaining any permissions required by applicable law for AI-assisted calls and transcript storage in your jurisdiction. The Service does not currently store call-audio recordings, and we do not claim configurable recording disclosures or stored-audio recording controls. 6.4 Internal Field Voice App

Service Socket Voice is an internal field assistant for authorized business users and technicians. It streams microphone audio for real-time AI assistance, may capture or attach job-site photos for AI analysis and documentation, and may share opt-in technician location with your business for dispatch visibility. You are responsible for authorizing which personnel may use these features and for obtaining any notices or consents required by applicable law for AI-assisted voice use, field photography, and location sharing. AI-generated outputs may be inaccurate; you remain responsible for how your business uses them.

6.5 SMS Messaging Obligations

If you enable SMS notifications for your end customers through the Service (for example, payment confirmations or transactional service-request follow-ups), you are a "subscriber business" under our SMS program and agree to the additional obligations in this Section 6.5.

Consent. You represent and warrant that, before a mobile number is used to send SMS through the Service, you have obtained and retained prior express, channel-specific consent from the recipient in compliance with the Telephone Consumer Protection Act (TCPA), the CTIA Messaging Principles and Best Practices, applicable state laws (including state mini-TCPA statutes), and all other applicable law. Acceptable consent methods include signed service agreements, web or paper intake forms with a clear SMS disclosure and affirmative opt-in, electronic signature workflows, recorded verbal consent, and other lawful methods. Providing a phone number alone does not create consent unless the required disclosure and permission were obtained.

Disclosures at point of consent. At the time you collect consent, you must clearly disclose the program name, the types of messages the recipient will receive, that message frequency varies, that message and data rates may apply, and instructions for opting out (reply STOP) and requesting help (reply HELP).

Scope of messages.You will use the Service's SMS features only for transactional and service-related communications tied to the recipient's existing relationship or explicit service request with you. You will not use the SMS features for affiliate marketing, third-party promotional content, or any messages outside the scope of the recipient's consent.

Opt-outs. You will honor all opt-out and revocation requests promptly and will not attempt to circumvent blocks (for example, by re-adding a number from a different record). Where SMS is routed through a configured Twilio Messaging Service with Advanced Opt-Out enabled, Twilio may process standard opt-out and help keywords for that traffic. You remain responsible for all revocations you receive through other channels and must not circumvent those blocks.

Recordkeeping. You will maintain records of consent sufficient to demonstrate compliance with applicable law and will provide those records to us on reasonable request in connection with a regulatory inquiry, carrier audit, or abuse investigation.

Indemnification and suspension. You are solely responsible for your compliance with the obligations in this Section 6.5 and for any claims arising from messages you cause the Service to send. We may suspend or disable the SMS features for your account if we reasonably believe you are in breach of this Section 6.5 or if a wireless carrier or messaging-registration authority requires us to do so.

6.6 Outbound Voice Obligations

If you use the Service for outbound calling, you are solely responsible for having any consent required by applicable law, identifying your business and the purpose of the call, honoring applicable quiet hours and do-not-call rules, and avoiding unsolicited or deceptive AI calling. The Service does not automatically enforce quiet hours, do-not-call lists, or outbound-consent controls for you.

7. Integrations

Service Socket integrates with third-party platforms when you configure them. You are responsible for maintaining valid credentials and permissions for connected integrations. We are not liable for data loss or service interruptions caused by third-party platform outages or API changes.

8. Intellectual Property

8.1 Ownership

The Service, including its AI models, software, design, and documentation, is owned by HelioNova, Inc. and is protected by intellectual property laws.

8.2 Your Content

You retain ownership of your business data, configurations, and customer information. You grant us a limited license to use this content solely to provide and improve the Service.

9. Data and Privacy

Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE SOCKET AND HELIONOVA, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Lost revenue, profits, or business opportunities resulting from missed calls or AI errors
  • Damages arising from inaccurate AI responses or failed bookings
  • Loss of data or business interruption
  • Damages from third-party integration failures

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold HelioNova, Inc. harmless from claims, damages, and expenses arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of applicable laws (including AI-assisted calling, transcript, SMS, and outbound-consent laws)
  • Inaccurate AI configuration provided by you

12. Termination

12.1 By You

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law. We will provide reasonable notice when possible.

12.3 Effects of Termination

  • AI voice and chat features will stop handling calls and chats for your account
  • Outstanding fees become immediately due
  • You may request a data export within 30 days of termination
  • After termination, retained data is handled under our Privacy Policy and applicable legal and operational requirements

13. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days in advance. Continued use of the Service constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Disputes shall be resolved in the state or federal courts located in San Francisco County, California.
